Terms of Service

By accessing or using the AGATHA platform ("Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service.

These Terms constitute a legally binding agreement between you ("User", "you", or "your") and AGATHA Technologies ("AGATHA", "we", "us", or "our"). Your continued use of the Service following the posting of any changes to these Terms constitutes acceptance of those changes.

You represent that you are at least 18 years of age and have the legal capacity to enter into this agreement. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

AGATHA is an AI-powered career intelligence platform designed to help users navigate and optimize their job search process. The Service provides, but is not limited to, the following features:

• CV / Resume Parsing: Automated extraction and structuring of information from uploaded resumes and curricula vitae.
• Job Matching: AI-driven analysis to match user profiles with relevant job opportunities based on skills, experience, and preferences.
• Auto-Apply: Automated submission of job applications on behalf of the user, subject to user consent and configuration.
• Resume Tailoring: AI-assisted customization of resumes and cover letters to align with specific job descriptions and requirements.
• Career Intelligence Dashboard: Centralized analytics and insights into your job search progress, application statuses, and market trends.
• Email Integration: Sending application emails and follow-ups via connected email accounts.

AGATHA reserves the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

To access certain features of the Service, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information during the registration process.
• Maintain and promptly update your account information to keep it accurate and complete.
• Maintain the security and confidentiality of your login credentials, including your password.
• Accept responsibility for all activities that occur under your account.
• Immediately notify AGATHA of any unauthorized use of your account or any other breach of security.

You may register using email and password, or through third-party OAuth providers (Google, GitHub). Regardless of the registration method, you are solely responsible for safeguarding your account access.

AGATHA will not be liable for any loss or damage arising from your failure to comply with these account security obligations.

You retain all rights, title, and interest in and to any content you submit, upload, or otherwise make available through the Service, including but not limited to resumes, curricula vitae, cover letters, personal information, and professional data ("User Content").

By uploading User Content, you grant AGATHA a limited, non-exclusive, non-transferable license to process, analyze, and store your User Content solely for the purpose of providing and improving the Service. This license terminates when you delete your account or remove your User Content from the platform.

AGATHA does not claim ownership of your User Content. We will not sell, share, or distribute your personal data or resume content to third parties except as necessary to provide the Service (e.g., submitting applications on your behalf) or as required by law.

You are solely responsible for ensuring that your User Content is accurate, lawful, and does not infringe upon the rights of any third party.

AGATHA utilizes artificial intelligence and machine learning technologies to provide various features, including but not limited to resume analysis, job matching, cover letter generation, and resume rewriting.

You acknowledge and agree that:

• AI outputs may contain inaccuracies, errors, or content that does not fully represent your qualifications or intentions.
• You are responsible for reviewing, editing, and approving all AI-generated content before it is submitted or used in any application.
• AGATHA does not guarantee that AI-generated recommendations will result in job interviews, offers, or employment.
• The quality and relevance of AI outputs depend on the accuracy and completeness of the information you provide.

AGATHA integrates with various third-party services to enhance functionality. By using these integrations, you acknowledge and agree to the following:

Authentication Providers

We use Google OAuth and GitHub OAuth for user authentication. When you sign in through these providers, we access only the information necessary for account creation and authentication (e.g., name, email address, profile picture). Your use of these providers is also subject to their respective terms of service and privacy policies.

Gmail Integration

If you connect your Gmail account, AGATHA may send emails on your behalf for job applications, follow-ups, and related correspondence. You authorize AGATHA to send these emails and acknowledge that you are responsible for the content of all communications sent through your connected account.

AI Engines

AGATHA leverages third-party AI engines and models to power its AI features. Your data may be processed by these services in accordance with their respective privacy policies and data processing agreements. AGATHA selects AI providers that maintain appropriate data security standards, but cannot guarantee the practices of third-party providers.

AGATHA is not responsible for the availability, accuracy, or performance of any third-party service. Your use of third-party integrations is at your own risk.

AGATHA offers an automated job application feature ("Auto-Apply") that submits job applications on your behalf. By enabling and using Auto-Apply, you agree to the following:

• Explicit Consent: Auto-Apply will only submit applications with your explicit consent and based on the preferences and criteria you configure.
• Accuracy of Materials: You are solely responsible for ensuring the accuracy, completeness, and truthfulness of all materials submitted through Auto-Apply, including resumes, cover letters, and any other application materials.
• Review Before Submission: You are encouraged to review all application materials and job listings before enabling automated submissions. AGATHA provides tools to preview and approve applications before they are sent.
• No Guarantee of Delivery: While AGATHA makes reasonable efforts to ensure successful submission, we do not guarantee that all applications will be received, processed, or reviewed by employers.
• Employer Policies: You acknowledge that some employers may have policies against automated applications. AGATHA is not responsible for any consequences arising from the use of Auto-Apply in violation of employer or job platform policies.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service for any fraudulent, deceptive, or misleading purpose, including submitting false information in job applications.
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity.
• Scrape, crawl, or use automated means to access the Service or extract data from the platform without prior written consent.
• Attempt to gain unauthorized access to any portion of the Service, other user accounts, or any systems or networks connected to the Service.
• Upload or transmit viruses, malware, or any other malicious code that could harm the Service or other users.
• Use the Service to harass, abuse, or harm another person or to send unsolicited communications.
• Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.
• Reverse engineer, decompile, or disassemble any aspect of the Service.
• Use the Service in any manner that violates applicable local, state, national, or international law or regulation.

Violation of this section may result in immediate suspension or termination of your account without prior notice.

The Service, including its original content, features, functionality, design, user interface, algorithms, source code, branding, and all related intellectual property, is and shall remain the exclusive property of AGATHA Technologies and its licensors.

The AGATHA name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of AGATHA Technologies. You may not use such marks without our prior written permission.

Nothing in these Terms grants you any right, title, or interest in the Service or its content, other than the limited right to use the Service in accordance with these Terms.

Any feedback, suggestions, or ideas you provide regarding the Service may be used by AGATHA without any obligation to compensate you.

Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Service, you consent to the collection and use of your information as described in our Privacy Policy. We encourage you to review the Privacy Policy carefully to understand our practices regarding your personal data.

We implement industry-standard security measures to protect your data. However, no method of transmission over the Internet or electronic storage is 100% secure, and we cannot guarantee absolute security.

To the maximum extent permitted by applicable law, AGATHA Technologies, its directors, employees, partners, agents, suppliers, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, data, or business opportunities.
• Job search outcomes, including failure to secure interviews or employment.
• Employer responses or decisions regarding your applications.
• Inaccuracies in AI-generated content, including resume rewrites, cover letters, or job recommendations.
• Actions taken by third-party services or integrations, including email delivery failures or AI processing errors.
• Any unauthorized access to or alteration of your data or transmissions.

In no event shall AGATHA's total liability exceed the amount you paid to AGATHA, if any, during the twelve (12) months preceding the claim.

AGATHA reserves the right to suspend or terminate your account and access to the Service at any time, with or without cause and with or without notice, including but not limited to cases where:

• You breach any provision of these Terms.
• Your conduct poses a risk to other users or the integrity of the Service.
• Continued provision of the Service to you is no longer commercially viable.
• Required by law or regulatory authority.

Your Right to Terminate: You may delete your account at any time through your account settings. Upon account deletion, we will remove your personal data from our active systems in accordance with our Privacy Policy. Some data may be retained in backups for a limited period as required by law or for legitimate business purposes.

Upon termination, all rights and licenses granted to you under these Terms will immediately cease. Sections that by their nature should survive termination (including Intellectual Property, Limitation of Liability, and Governing Law) shall survive.

AGATHA reserves the right to modify or replace these Terms at any time at our sole discretion. When we make material changes, we will:

• Update the "Last Updated" date at the top of these Terms.
• Provide notice of material changes through the Service interface, email notification, or other reasonable means.
• Allow a reasonable period for you to review the updated Terms before they take effect.

Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of the Service and delete your account.

It is your responsibility to review these Terms periodically for changes.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which AGATHA Technologies is incorporated, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through good-faith negotiation between the parties. If a dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in accordance with the rules of the applicable arbitration authority in the governing jurisdiction.

You agree that any legal action or proceeding relating to these Terms shall be brought exclusively in the courts of the governing jurisdiction, and you consent to the personal jurisdiction of such courts.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
